You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements.
By using our services, you agree to comply with all applicable laws and regulations. You agree not to use our services for any unlawful purpose or in any manner that could damage, disable, overburden, or impair the services or interfere with any other party's use of the services.
You further agree not to engage in any conduct that restricts or inhibits anyone's use or enjoyment of the services, or which, as determined by qohelet, may harm qohelet or users of the services or expose them to liability. You are prohibited from using the services to transmit any unsolicited or unauthorized advertising, promotional materials, or any other form of solicitation.
We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this Acceptable Use Policy, including without limitation, removing the offending content from the services, suspending or terminating the account of such violators, and reporting such violations to law enforcement authorities.
In connection with your use of our services, you agree not to engage in any of the following prohibited activities:
All content, features, and functionality on the services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, and software, are the exclusive property of qohelet or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the services for your personal, non-commercial use. This license does not include any resale or commercial use of the services or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of the services or its contents; or any use of data mining, robots, or similar data gathering and extraction tools.
Any unauthorized use terminates the permission or license granted by qohelet. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our services, except as follows: your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
Our services may allow you to submit, post, or transmit content, including but not limited to comments, reviews, and other materials ("User-Generated Content"). By submitting User-Generated Content, you grant qohelet a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media.
You represent and warrant that you own or control all rights to the User-Generated Content you submit and that the User-Generated Content is accurate, not confidential, and not in violation of any contractual restrictions or other third-party rights. qohelet takes no responsibility and assumes no liability for any User-Generated Content submitted by you or any third party.
We reserve the right to remove or edit any User-Generated Content for any reason, including but not limited to, if we believe that such content violates these Terms, is offensive, illegal, or otherwise objectionable, or if we receive a complaint regarding such content.
Some services may require payment of fees. By using such services, you agree to pay all applicable fees and taxes associated with your use of the services. All fees are non-refundable unless otherwise stated. qohelet reserves the right to change its fees at any time, and any changes will be effective immediately upon posting on the services.
You agree to provide accurate and complete billing information when you make a purchase. You are responsible for maintaining the confidentiality of your payment information and for all transactions made under your account. If you fail to provide accurate billing information, we reserve the right to suspend or terminate your access to the services.
In the event of a dispute regarding any payment, you must notify us within thirty (30) days of the date of the disputed charge. Failure to notify us within this timeframe will result in your waiver of any claims related to the disputed charge.
Qohelet reserves the right to modify or discontinue, temporarily or permanently, the services (or any part thereof) with or without notice. You agree that qohelet will not be liable to you or to any third party for any modification, suspension, or discontinuance of the services.
We may also impose limits on certain features and services or restrict your access to parts or all of the services without notice or liability. We will make reasonable efforts to notify you of any significant changes to the services, but you are responsible for regularly reviewing these Terms and any changes to the services.
Your continued use of the services after any changes to the services will constitute your acceptance of such changes. If you do not agree to the changes, you must stop using the services immediately.
To the fullest extent permitted by applicable law, in no event shall qohelet, its affiliates, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of, or inability to access or use, the services; (ii) any conduct or content of any third party on the services; (iii) any content obtained from the services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.
In no event shall qohelet’s total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for using the services during the twelve (12) months preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
We may terminate or suspend your access to the services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the services will immediately cease.
All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
If you wish to terminate your account, you may simply discontinue using the services or contact us at communications@qohelet.com. Upon termination, you may lose access to any content associated with your account, and we will have no obligation to maintain or store such content.
